1. Introduction

1.1. General provisions

  • To place an order or to get into any business relationship with VILLBAU it is mandatory to read and accept this document.
  • This document is subject to changes by VILLBAU. Our Customers will be notified upon any kind of update.

1.2. Contractors

  • Customer: any company or private person who is eligible to get in business relationship with VILLBAU and/or registered on this website

1.3. Contract of sale or service

  • In order to make a contract with VILLBAU it is mandatory that all the conditions and circumstances be clearly stated in written form.
  • For already signed contracts the conditions being valid at the time of singning the contract behold validity.

2. Use of our website

2.1. General provisions

  • Our website is not a webshop. Customers cannot place direct orders.
  • Customers can request price quotes on the website or via e-mail.

2.2. Owner & operator

  • VILLBAU, according to 1.2.

2.3. Terms of use

  • In order to use our website it is mandatory to read and accept the Privacy Policy (https://www.villbau.com/gdpr/).
  • All information found on this website must be handled as business secret and must not be given to any third person.
  • Certain parts of product data are public to anyone viewing the site, however, other parts (e.g. firmwares and price lists) are only accessible to registered Customers.

2.4. Registration

  • On registration, Customers allow VILLBAU to send newsletters and offers by email on a regular basis.
  • To register on this site, we expect the following details:
    • name, company name, e-mail
  • Registered Customers can freely modify their particulars at any time.
  • Registrations are not automatic, VILLBAU staff will confirm each registration within one working day.
  • For a company there might be more than one Customers registered (with different e-mail addresses) but we use the first given e-mail to validate all other Customers for that company.

2.5. Customers already registered on the former villbau.com website

  • Customers who had been users of the former villbau.com website are notified by e-mail in order to keep their registration on the new site.
  • After first login they are expected to validate and/or update their particulars before using the site as Customers.
  • In case of not logging in they will be deleted from out database after 30 working days counting from the notification.

2.6. Deleting a registration

  • Customers may ask for deletion at any time without explanation by sending an e-mail to mail@villbau.com. The process is done by VILLBAU staff within 30 working days with confirmation by e-mail
  • VILLBAU holds right to suspend or withdraw Customers’ user status and privileges upon breach of contract or any conflict of interest that makes our cooperation impossible

3. Products and prices on the website

3.1. Change and update of product information

  • All information of the products are subject to change or update by VILLBAU.

3.2. Lists of products

  • Product lists contain the most recently manufactured and sold products of VILLBAU.
  • We give information about stock quantities and availability upon request.

3.3. Prices displayed on product pages and price lists

  • Available only for registered Customers.
  • List prices are informational only.
  • Prices are subject to change when ordering (based on Customer‘s reseller status, quantity discount, etc.).

3.4. Downloadable price lists

  • Available only for registered Customers.

3.5. Discount prices

  • Discount prices are valid for actual stock until withdrawal.

4. Ordering information

4.1. Eligible to order

  • All registered Customers are qualified to place an order.

4.2. Customer data needed for placing orders

  • List of ordered items written clearly
  • Name of Customer
  • Shipping address
  • Payment method
  • Contact information (name, phone, e-mail)

4.3. Placing an order

  • We accept orders only in written form (e-mail).

4.4. Price quote requests

  • Usually precedes the order itself.
  • The purpose is to clarify the ordering circumstances, to ensure availability and validate discount.
  • Customers can request price quotes on the website or through e-mail.
  • Prices given on request are valid within 30 working days.

4.5. Order confirmation

  • When all conditions of ordering have met and the necessary data are exactly and completely present VILLBAU staff will confirm the order within one working day by e-mail.
  • Confirmation is considered as accepting the contract of order. Partners take all obligations of order compliance as clearly written on the signed contract.
  • Customers may withdraw their orders according to 6.2.

4.6. Payment methods

  • cash: only for personal receipt
  • card: currenty not possible
  • bank transfer: this is our standard payment method outside Hungary

4.7. Original document of invoice

  • The original of invoice shall be found in the parcel delivered.

4.8. Ownership of products

  • The ordered products are considered as property of VILLBAU until the payment is cleared before deadline and by previously agreed payment method. After that the products shall be owned by the Customer.

5. Shipping information

5.1. Personal receipt

  • Kérjük, hogy minden esetben ellenőrizze a csomag sértetlenségét!
  • Amennyiben a küldemény rendben, sértetlenül megérkezett, Ügyfél az átvételi elismervényen – cégszerűen – aláírva igazolja az átvételt.
  • Amennyiben a csomag sérült, ne vegye át és/vagy készítsen, illetve készíttessen fényképes jegyzőkönyvet. A sérülés tényét elismertetve (cégszerűen) írassa alá a szállítást végző cég munkatársával. Ezt követően haladéktalanul értesítsen minket, hogy a szükséges intézkedéseket megtehessük.

5.5. Lost shipment

  • Amennyiben a küldemény elveszett – tehát 3-5 nap alatt sem érkezett meg -, kérjük, vegye fel velünk a kapcsolatot. Mi jelezzük a futárcégnek, ahol megkezdik a panasz kivizsgálását. Az üggyel kapcsolatban tájékoztatjuk Önt.

  • Át nem vett küldemény esetén a címzett felelőssége a sérülésmentes küldemény üzletünkbe történő visszajuttatása és annak költsége.

6. Order cancellation

6.1. General provisions

  • Any intention of cancellation must be clearly stated and presented in written form which is verifiable.
  • A contract of order is signed for a definite time. It ceases when all the obligations cease and neither of the contracting parties exercises his right of receding from the contract.

6.2. Order cancellation right of Customer

  • Generally, the Customer may initiate cancellation of order before shipment or personal receipt of products. Customer must give declaration of order cancellation in written form (e-mail).
  • On basis of the appropriate paragraph of the Hungarian Civil Code the Customer has the right to withdraw his order – terminate the contract – within 14 days upon receipt of the products.
  • However, Customer loses his cancelling right if
    • the products are manufactured specially on the basis of Customer‘s instructions
    • the sealed packing of the products are opened after reception

6.3. Order cancellation right of VILLBAU

  • VILLBAU holds right of order cancellation in case of payment delay exceeding 30 working days from the invoice date, according to 4.4.
  • In case of VILLBAU failing his contractual obligations because of stock outage and there is no way to fulfil the order by any means, Customer is immediately notified and the amount paid is returned not later than within 30 working days.

6.4. Return of products

  • On cancelled orders Customer takes full responsibility of returning the products to VILLBAU in their undamaged and complete condition. Shipping cost must be paid by Customer in this case.
  • VILLBAU accepts returns only if Customer validates by invoice that the returned products are bought from VILLBAU.

7. Service, warranty and guarantee

7.1. General terms

  • VILLBAU provides warranty based on propositions of the Hungarian Civil Code.
  • Warranty time interval starts upon receiving the ordered product, regardless of use of the product.
  • VILLBAU provides 3 years of guarantee for products manufactured and/or sold to Customers.

7.2. Vindicating warranty or guarantee

  • Customer is expected to vindicate warranty or guarantee in written form (e-mail). Must include date of purchase, product identifiers, list of parts and accessories as well as description of failure.
  • When claiming warranty or guarantee Customer holds responsibility of returning the products to VILLBAU. Shipping cost is expected to be paid by Customer in this case.
  • In terms of warranty Customer has the right to ask for repair or replace of the product in first round, price reduction in the second round and – if still within warranty period – cancellation in the third round.
  • VILLBAU is expected to settle all valid warranty claims in shortest possible time. In case VILLBAU fails to serve the claim appropiately Customer shall be notified and a possible solution offered.

7.4. Service

  • The service procedure always starts with inspection based on description provided by Customer. Failures identified by VILLBAU team are reported to Customer along with an estimated price of restoring normal operating status, if possible. Customer must use the RMA form that is to be found downloadable on our website.
  • In case of additional costs during the service process Customer will be notified.
  • In case the product is working without error or Customer cancels his service claim (e.g. because of the cost) Customer is expected to pay inspection fee.
  • When complete, Customer shall be notified through e-mail or phone. In case Customer apparently not wanting the products to be returned VILLBAU holds the right to sell the product after 3 months.
  • All service costs are expected to be paid by bank transfer. VILLBAU returns serviced products only after cleared payment.

7.5. Service after guarantee expires

  • When the guarantee interval of the product expires any service claims are no longer free of charge for the Customer.
  • Service always becomes paid whenever the failure has been proven to be caused by overvoltage or bad use of the product.
  • When the inspection shows no failure described by Customer the inspection fee must be paid.

7.6. Expert’s report

  • For the products being serviced VILLBAU provides an expert’s report on request. This can be used in an insurance case or taken as documentation.
  • Expert’s report can be written only when service fee or inspection fee is being paid.
  • On successful repair of the product the expert’s report contains the failures that have been revealed, the method of the repair and proof of correct operation.
  • If repair is unsuccessful or impossible the expart’s report is to prove the fact of the product being non-serviceable.

7.8. Product support

  • For discontinued products that are no longer sold VILLBAU provides replacement parts as long as the remaining stock allows.
  • For discontinues products service is provided within the appropriate product support period based on propositions of the Hungarian Civil Code.
  • In case VILLBAU is unable repair or replace the discontinued product we shall try to offer another replacement type or find a solution for the Customer.
  • For given product, after the support period expires VILLBAU can not guarantee service or replacement parts because of objective reasons such as technological obsolescence or no longer available components.
  • A list of our discontinued, yet – fully or partially – supported products can be found on our website.
  • Our Customers shall get notified before VILLBAU makes products obsolete within reasonable time interval.

8. Responsibility

8.1. Responsibility within VILLBAU’s authority

  • In case the purchased product causes damage to proprerty for the Customer because of failure of that product, VILLBAU holds responsibility up to the amount that is on the invoice of that product.

8.2. Responsibility out of VILLBAU’s authority

  • Damage or inconvenience caused outside VILLBAU‘s authority (vis maior or third party) draws no responsibility from VILLBAU.

8.3. Products and software made by thirt parties

  • In case of failure or malfunction of third-party products or software sold by VILLBAU there is no direct responsibility on VILLBAU.

8.4. Responsibility of bad usage

  • In terms of warranty and guarantee if bad usage or intentional damage of a product is proven the warranty and guarantee becomes void and all responsibility is on the Customer.

8.5. About disclosing business secrets

  • Whenever Customer gives any classified information to some third person without having explicit permission in written form by VILLBAU or use any of classified information by means that is prohibited by VILLBAU then Customer holds all responsibility for the damage and the consequences caused by his action.
